Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client" or "you") and Mohamed Mohamed, operating under the business name Codem3 ("we," "us," or "our").

By accessing our website at codem3.com or engaging our software development services, you agree to be bound by these Terms and all applicable laws and regulations.

Important: If you do not agree with any part of these Terms, you may not access our website or use our services.

Services Offered

Codem3 provides professional software development services, including but not limited to:

  • Custom website development
  • Web application development
  • Mobile application development
  • E-commerce platform development
  • UI/UX design services
  • Custom software solutions
  • Bug fixing and troubleshooting
  • SEO and performance optimization
  • Quality assurance and testing
  • Maintenance and support services

Service Agreement Process

Project Consultation

All projects begin with a consultation to understand your requirements. We will provide a detailed proposal including scope, timeline, and pricing.

Contract Formation

A formal contract is created for each project, outlining specific deliverables, timelines, payment terms, and responsibilities. Both parties must agree to the contract terms before work begins.

Project Execution

We provide real-time project tracking through Notion, Slack, and live project links to ensure transparency throughout the development process.

Payment Terms

Payment Structure

Payment terms are established in individual project contracts and may include:

  • Upfront deposits (typically 25-50% of project total)
  • Milestone-based payments
  • Final payment upon completion
  • Monthly retainer agreements for ongoing services

Accepted Payment Methods

We accept payments via:

  • Bank transfer
  • Credit/Debit cards
  • Payoneer
  • Other methods as agreed upon

Late Payment & Project Ownership

  • Project Suspension: If a client delays payment or if the project remains inactive for more than six (6) months without prior written notice, Codem3 reserves the right to suspend all work. Should the client later wish to resume, the remaining scope and pricing may be renegotiated at Codem3’s current rates and terms.
  • Ownership & Intellectual Property: All project materials, source files, designs, and intellectual property rights remain the sole property of Mohamed / Codem3 until the final payment is received in full. Ownership is transferred to the client only after all outstanding invoices have been settled.
  • Use of Unpaid Work: Any work or deliverables that remain unpaid in whole or in part may be used by Mohamed / Codem3 for portfolio, promotional, or commercial purposes at its sole discretion.
  • No Late Fees: Codem3 does not impose late-payment penalties or interest charges. However, prolonged delays or inactivity may affect project timelines, availability, and pricing for any remaining tasks.

Intellectual Property Rights

Client Ownership

Upon full payment, clients receive ownership of custom-developed code and designs specifically created for their project, excluding our proprietary tools, frameworks, and methodologies.

Third-Party Components

Projects may include third-party libraries, frameworks, or tools subject to their respective licenses. We ensure all third-party components are properly licensed for commercial use.

Portfolio Rights

We reserve the right to display completed projects in our portfolio and marketing materials unless otherwise agreed in writing.

Warranties and Guarantees

Lifetime Code Warranty

We provide a lifetime warranty on code we develop, covering bug fixes and maintenance as long as no third party modifies the original codebase.

Delivery Guarantee

We guarantee on-time delivery as specified in project contracts. If we fail to meet agreed deadlines due to our fault, clients may receive a 50% refund of the final payment.

Quality Standards

All deliverables meet industry standards and best practices for security, performance, and scalability.

Client Responsibilities

Clients agree to:

  • Provide accurate project requirements and necessary materials
  • Respond to communications within reasonable timeframes
  • Make timely payments as specified in contracts
  • Provide feedback and approvals within agreed timelines
  • Ensure all provided content is original or properly licensed
  • Maintain confidentiality of any proprietary methods shared

Limitation of Liability

Our total liability for any claims related to our services shall not exceed the total amount paid by the client for the specific project or service in question.

We are not liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

This limitation applies regardless of the legal theory under which such damages are sought, whether in contract, tort, or otherwise.

Cancellation and Refund Policy

Client Cancellation

Clients may cancel projects with written notice. Refunds will be calculated based on work completed and expenses incurred. Deposits are non-refundable after work has commenced.

Our Cancellation Rights

We reserve the right to terminate projects for non-payment, scope changes beyond agreed terms, or client behavior that impedes project progress.

Confidentiality

We maintain strict confidentiality regarding all client information, business processes, and proprietary data. This obligation continues beyond the completion of services.

Clients similarly agree to maintain confidentiality regarding our proprietary methods, tools, and business processes.

Force Majeure

Neither party shall be liable for any failure to perform due to events beyond reasonable control, including natural disasters, wars, government actions, or other force majeure events.

Governing Law and Dispute Resolution

These Terms are governed by the laws of Egypt. Any disputes shall be resolved through good-faith negotiation first, followed by arbitration if necessary.

For international clients, disputes may be resolved according to the laws of the client's jurisdiction or through international arbitration as mutually agreed.

Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on our website with an updated effective date. Continued use of our services constitutes acceptance of modified terms.

For ongoing projects, existing contracts remain governed by the terms in effect when the contract was signed.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms, along with individual project contracts and our Privacy Policy, constitute the entire agreement between parties and supersede all prior communications and proposals.
